DiligenceIQ — Pilot Terms
These Terms govern pilot access to the DiligenceIQ platform ("the Platform") provided by AI Lighthouse Partners Limited ("AI Lighthouse Partners", "we", "us"). By submitting a pilot request you confirm acceptance of these Terms.
1. Purpose of the pilot
Pilot access is granted solely to evaluate the Platform's suitability for your organisation on a defined scope. It is not a production licence and may not be used to deliver services to third parties unless separately agreed in writing.
2. Approval and access
All pilot requests are subject to review and approval, including a security review where required. We may approve, reject, defer, request additional information from, or require a demonstration call before granting access.
3. Pilot period
Pilot access is time-limited and scope-limited. Start date, end date and the agreed workstreams are confirmed on approval. Access ends automatically at the end of the pilot period unless extended in writing.
4. Permitted use
You may use the Platform only for internal evaluation within your organisation. You must not resell, sublicense, white-label or otherwise commercialise pilot output without prior written agreement.
5. Data restrictions
You confirm that you will not upload to the Platform any of the following without prior written approval from AI Lighthouse Partners:
Sensitive or special-category personal data
Criminal offence data
Children's data
Legally privileged material
Regulated, material non-public information
Highly confidential transaction data
Third-party data you are not authorised to share
You confirm you have the necessary rights, permissions, consents and lawful basis for any information uploaded during the pilot.
6. Nature of outputs
All Platform outputs are drafts produced for human review. They do not constitute professional, financial, legal, tax, regulatory or investment advice, and they do not replace formal specialist due diligence or an independent valuation where one is required. Interpretation, challenge and the final recommendation remain your responsibility.
7. Authority
You confirm that you are authorised to request and accept pilot access on behalf of your organisation, and that all declarations made during the request process are accurate.
8. Discretion
AI Lighthouse Partners may at any time and at its sole discretion approve, reject, suspend, withdraw or modify pilot access. No liability arises from such action.
9. Confidentiality
The Platform, its outputs and any related documentation are confidential information of AI Lighthouse Partners and must not be disclosed to any third party without prior written consent.
10. No warranty
The Platform is provided on an "as-is" basis during the pilot. No warranties, express or implied, are given as to suitability, fitness for purpose, accuracy or availability.
11. Limitation of liability
To the maximum extent permitted by law, AI Lighthouse Partners shall not be liable for any indirect, consequential, special or incidental loss or damage, including loss of profits, revenue, business opportunity, goodwill or data. Total aggregate liability arising out of or in connection with the pilot shall not exceed £100. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law.
12. Governing law
These Terms are governed by the laws of England and Wales.
